3. Minimum term and cancellation
Every subscription has an initial minimum term of 3 months from first payment. You may give notice at any time. Effective termination = later of (minimum term end) or (notice + 28 days). Upgrading never resets the minimum term.
4. Upgrades
You may upgrade to a higher plan at any time; an upgrade never resets or extends the minimum term.
5. Your content and approval
Content is produced from your brand profile. You review and approve content before publication within the normal workflow, unless you've explicitly enabled auto-publish. You remain responsible for the factual accuracy of anything you approve.
6. Local Protection (Protected Territory)
6.1 Definitions. "Territory" or "Protected Territory" means the defined group of postcode sectors identified against your registered branch postcode on our Territory Register (and, once issued, your Territory Certificate) — built once by us from published postcode and population data and identical for every customer in the same location. It is not a radius and does not follow your own marketing area. "Competing Agency" means any business marketing residential estate agency and/or residential lettings agency services to the public with a branch address inside your Protected Territory, including online/hybrid agencies and other branches of a competing group; it excludes a mortgage broker, accountant, property sourcer, planning consultant, developer, commercial agent or any business outside the residential-agency category. "Branch" means each physical or trading location you register with us, using Content Engine under its own workspace. "Subscription" means your paid Content Engine plan. "Territory Register" means our internal record of which Protected Territory is allocated to which customer, and its current status.
6.2 Allocation. Your Protected Territory is identified from our own Territory Register, never from an informal town description, and takes effect from your first successful payment ("Day 1") — not signup or onboarding completion. On Starter, protection is provisional for 90 days from Day 1, plus a 14-day grace period, after which your Subscription continues but the area may be offered to another business unless you have moved to Starter Plus or above. On Starter Plus and above, protection is ongoing for as long as your Subscription is paid and active.
6.3 Exclusivity. While your Protected Territory allocation is active, we will not supply the Content Engine sales and lettings agency service to a Competing Agency with a branch address inside your Protected Territory. A prospective customer may be offered a hold of up to 48 hours on a Protected Territory that is not currently allocated; this converts to an allocation only on successful payment.
6.4 Limits. Local Protection does not guarantee any level of leads, instructions, enquiries or market share. It does not give you any exclusive right to the "Content Engine" name, brand or trademark generally. It does not prevent us serving a non-competing business (for example a mortgage broker, accountant, builder or planning consultant) inside the same Protected Territory. It is not a franchise, agency relationship or regulated geographic monopoly — it restricts only our own decision about who we sell Content Engine to, not any other business's ability to trade in that area.
6.5 Boundary changes. We may redraw Protected Territory boundaries for new customers using updated postcode or population data, or correct an obvious data error (for example a postcode sector mapped to the wrong territory), telling you if it affects your own Protected Territory. Your own Protected Territory, once allocated, will not be reduced while your protection is continuously active.
6.6 Payment and suspension. Protection is conditional on payment. If a payment fails and is not resolved within 14 days, protection ends. A suspended account has no active protection while suspended.
6.7 Cancellation. Protection ends on the same effective termination date as your Subscription under clause 3 above — never an earlier or separately-calculated date.
6.8 Breach. Material breach — for example, providing false branch or category information to obtain protection you are not entitled to — may result in suspension or termination of your Protected Territory allocation, in addition to our other rights under these Terms.
6.9 Multi-branch. Each Branch is protected only in the Protected Territory containing its own registered address, and only where an allocation for that Branch is included in or added to your plan. An additional Branch purchased without an additional Protected Territory shares your existing content feed only, with no separate protection.
6.10 No performance guarantee. Protected Territory is a restriction on who we will sell Content Engine to. It is not a promise about your business's performance, leads or growth.
7. Governing law
These terms are governed by the law of England and Wales.
